InzpireU Terms of Service

These Terms of Service ("Terms"), together with our Privacy Policy, which is hereby incorporated by reference, establish the legal terms and conditions applicable to all users of the Website, including individuals, partnerships, corporations, or other legal entities ("you" or "user"). By accessing or using the Website and its related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not accept these Terms, you must not use the Website or the Service. We reserve the right to amend or update these Terms at any time without notice. It is your responsibility to review these Terms periodically for changes. Your continued use of the Website or Service following the posting of changes will mean that you accept and agree to the updates. These Terms were last updated on the date noted above. In cases where you are accessing the Service under an enterprise agreement between InzpireU and another entity (e.g., your employer or educational institution), the terms of that agreement will prevail over any conflicting provisions in these Terms.

Service Overview

InzpireU enables connections among graduates, early-career professionals, and experienced industry professionals, providing a platform for sharing insights and fostering future opportunities. Detailed information about the Service is available on the Website.

Registration and Profile Settings

To utilize the Service, you must register and create a profile with your name, username, password, and email address. You may choose between a private or publicly visible profile. Should you wish to be discoverable by other users, you can adjust your profile visibility in your profile settings or account settings. We reserve the right to verify the information you provide before approving your account or any changes to your account status from private to public.

Password Security

You are responsible for maintaining the confidentiality of your password and for all activities that occur under your account. You must notify InzpireU immediately if you become aware of any unauthorized use of your password or account.

No Endorsement

Although publicly visible users undergo a basic verification process, it is your responsibility to ensure that any user you choose to engage with meets your requirements. InzpireU merely facilitates interactions between users and does not endorse any services offered by users. We are not responsible for the outcomes of any interactions between users.

Your Conduct

In using the Website or Service, you must not:

- Copy or distribute any part of the Website or Service without our prior written consent.

- Modify or alter any part of the Website.

- Engage in or promote illegal activities through the Website.

- Post or transmit any content that is illegal, harmful, or offensive on the Website.

- Impersonate any person or entity or falsely state your affiliation with a person or entity.

- Interfere with the operation of the Website or any user's enjoyment of the Website.

- Collect or store personal data about other users without their express consent.

InzpireU reserves the right to investigate and take appropriate legal action against anyone who violates these Terms, including removing the offending communication from the Website and terminating or suspending the accounts of such violators.

Changes to the Service or Website

We reserve the right to modify, suspend, or discontinue the Website or Service at any time without notice. We will attempt to notify users of significant changes through the Website.

Feedback

Any feedback you provide regarding the Website or Service may be used by InzpireU to improve our offerings. You grant InzpireU a royalty-free, worldwide, transferable license to use and incorporate such feedback.

The Website may contain links to third-party websites or display advertisements for third parties. InzpireU is not responsible for the content or practices of these third-party sites and services.

Disclaimer

InzpireU expressly disclaims all warranties, whether express or implied, regarding the Website, including, but not limited to, any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

InzpireU will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of your use of, or inability to use, the Website or Service, even if InzpireU has been advised of the possibility of such damages.

Indemnification

You agree to indemnify and hold harmless InzpireU, its officers, directors, employees, and agents from any claims, damages, and expenses, including reasonable attorneys' fees, arising from your use of the Website or Service or your violation of these Terms.

Additional Agreements

InzpireU Customer Agreement

Parties

- Customer: The entity or individual agreeing to these terms.

- InzpireU: The provider of the AI-enabled mentoring platform products.

Authority and Acceptance

- If you are accepting on behalf of an organization, you must have the legal authority to bind that organization. By clicking “Agree,” downloading, or using the Products, you confirm your binding acceptance.

Overview

- This agreement covers the use of InzpireU's Products, including both Cloud-based and Software Products, as well as associated support and advisory services. Some products may be governed by additional specific terms.

Use of Products

- 2.1 Permitted Use: Customer is granted a non-exclusive, worldwide license to use the Products for internal business purposes. This is subject to compliance with provided Documentation and defined Scope of Use.

- 2.2 Restrictions: The customer is restricted from redistributing, sublicensing, or otherwise making the Products available as part of a commercial offering that competes with InzpireU. The customer must not reverse engineer or otherwise attempt to derive source code from the Products, unless explicitly permitted.

Users

- The customer may authorize Users (employees, contractors, etc.) to use the Products under the terms of this agreement. The customer is responsible for ensuring that Users comply with this agreement and must manage their access credentials securely.

Cloud Products

- Specific conditions and commitments apply to Cloud Products, including data processing, security measures, and service levels. These are detailed further in associated Documentation and specific policy documents.

Software Products

- If any Software Products are provided, the customer may use the included source code for internal development related to the Products. Conditions for modification, redistribution, and number of allowable instances are specified.

Customer Obligations

- The customer is responsible for ensuring that all necessary disclosures have been made and consents obtained for InzpireU to process data as needed for the provision of the Products. The customer must also ensure that the Products meet their regulatory and business requirements.

Third-Party Code and Products

- The agreement outlines how open source and third-party software are included within the Products. Use of Third-Party Products may be governed by separate terms and could require Customer to allow access to their data.

Support and Advisory Services

- InzpireU agrees to provide support and advisory services according to terms laid out in the Order and relevant policy documents. This may include technical support and strategic advising related to the use of the Products.

Ordering, Delivery, Billing, and Payment

- Details the procedure for ordering Products, including acceptance of orders, delivery of services, billing practices, and payment responsibilities. Specifics on renewals, adjustments in scope, and refund policies are included.

Warranties and Disclaimers

- InzpireU provides warranties related to the performance of the Products according to the Documentation and service agreements. The Products are otherwise provided "as is," with disclaimers for certain types of warranties.

Term and Termination

- The term of the agreement begins upon acceptance and continues until all subscription terms end. Conditions under which the agreement or subscriptions can be terminated are detailed, along with the consequences of such termination.

General Provisions

- Includes miscellaneous terms such as compliance with laws, restrictions on assignment and transfer of the agreement, applicable law and jurisdiction for disputes, and the process for modifying the agreement.

This expanded agreement provides a comprehensive framework that ensures both parties understand their rights and obligations in using the InzpireU Products. It aims to support a clear and effective partnership between InzpireU and its customers, enhancing the experience of mentoring through advanced technology.

Terms and Conditions for AI Agreement

Acceptance of Terms

By accessing or using the InzpireU platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any future modifications. If you do not agree to these Terms, please do not use the platform.

2. AI Integration

InzpireU integrates OpenAI's API to enhance the platform's capabilities, including but not limited to, the 'Co Guru' bot which assists users in navigating mentorship opportunities and managing their goals.

3. User Responsibilities

As a user of the InzpireU platform, you agree to:

1. Provide Accurate Information: Ensure that all information provided during registration and usage is accurate and up-to-date.
2. Maintain Security: Keep your login credentials confidential and promptly notify InzpireU of any unauthorized use of your account.
3. Use the Platform Lawfully: Use the InzpireU platform only for lawful purposes and in accordance with these Terms.
4. Respect Privacy: Respect the privacy and confidentiality of other users and their data.

4. Prohibited Activities

You agree not to:

1. Use the AI services to engage in any unlawful, fraudulent, or malicious activity.
2. Attempt to reverse engineer, decompile, or disassemble any part of the platform or the integrated AI services.
3. Use the platform to disseminate harmful, abusive, or offensive content.
4. Interfere with the operation of the platform or the AI services.

5. AI Usage and Limitations

While the AI services provided by OpenAI API are designed to enhance user experience, you acknowledge and agree that:

1. AI Limitations: AI-generated responses are based on patterns and data and may not always be accurate or appropriate.
2. Human Oversight: AI should not replace human judgment. Users should exercise their own judgment in interpreting AI-generated content.
3. Liability: InzpireU is not liable for any actions taken based on AI-generated responses.

6. Data Privacy and Security

1. Data Collection: InzpireU collects and uses data in accordance with its Privacy Policy.
2. Data Usage: Data provided to or generated by the AI services may be used to improve the platform's performance and user experience.
3. Security Measures: InzpireU implements security measures to protect user data but cannot guarantee absolute security.

7. Intellectual Property

1. Ownership: InzpireU and OpenAI retain all rights, title, and interest in their respective technologies and intellectual property.
2. License: Users are granted a limited, non-exclusive, non-transferable license to use the platform and AI services in accordance with these Terms.

8. Termination

InzpireU reserves the right to suspend or terminate your access to the platform and AI services at any time, without notice, for conduct that it believes violates these Terms or is harmful to other users or the platform.

9. Changes to Terms

InzpireU may modify these Terms at any time. Any changes will be posted on the platform, and your continued use of the platform constitutes your acceptance of the modified Terms.

Code of Conduct

INZPIREU offers superior mentoring and educational services to help clients achieve their business objectives. Adherence to the following client code of conduct is obligatory to foster a constructive mentoring partnership. The code sets standards for client behavior that INZPIREU actively enforces, but it does not establish legal claims or obligations.

Respect and Professionalism
- Respect for Mentors: Clients are required to treat their InzpireU mentors with respect, courtesy, and professionalism, acknowledging the mentors' voluntary contribution of expertise and time.
- Avoidance of Insensitive Behavior: Clients must refrain from any form of insensitive conduct or harassment, including but not limited to sexual harassment.
- Non-Discrimination: Discrimination against any individual based on race, color, gender identity/expression, national origin, age, religion, marital status, disability, sexual orientation, or any other protected classification is strictly prohibited.
- Prohibition of Destructive Behavior: Engaging in destructive actions, whether physical, verbal, written, or online, towards InzpireU representatives, including volunteers, staff, and agents, is forbidden.
- Legal Compliance: Clients must comply with all relevant local, state, and federal laws in their interactions with mentors.

Timeliness and Communication
- Punctuality: Clients are expected to be punctual for scheduled mentoring sessions and should inform their mentor in advance if rescheduling or cancellation is necessary.
- Open Communication: Clients should maintain transparent and sincere communication with their mentor, sharing pertinent business information and being open to feedback and advice.

Commitment to Learning
- Active Participation: Clients should show a commitment to achieving their professional goals through active engagement in the mentoring process and thoughtful consideration of the guidance provided.
- Session Preparation: Clients are encouraged to prepare for sessions with specific queries and discussion topics, demonstrating initiative in their business planning and development.
- Constructive Feedback: Clients are expected to offer constructive feedback regarding the mentoring process, including successes and areas for improvement.

Confidentiality and Trust
- Confidentiality: Clients must respect the confidentiality of information shared during mentoring sessions and not disclose sensitive or proprietary information without proper authorization.
- Trust and Integrity: Clients should build a trustworthy relationship with their mentor, being forthright about their business challenges and achievements.

Professionalism in Conduct
- Ethical Conduct: Clients are expected to conduct their business dealings with integrity and adhere to ethical standards, avoiding actions that could damage their own business or InzpireU's reputation.
- Appropriate Requests: Clients should limit requests to areas within the expertise of InzpireU mentors, recognizing that mentors offer guidance and suggestions but do not perform tasks on behalf of clients.

Compliance
- Policy Adherence: Clients are required to comply with all InzpireU policies and guidelines, including this Code of Conduct, as well as the organization’s Website Terms of Use and Privacy Policy. Violations may result in termination of services from InzpireU.

Reporting
- Reporting Violations: Clients should promptly report any breaches of this Code of Conduct to contactus@inzpireu.org or another InzpireU staff member, providing comprehensive details of the incident for confidential and timely review.
- Emergency Situations: In cases where behavior poses an immediate or severe threat to public safety, clients are advised to contact emergency services immediately.

Consent Agreement
By adhering to this Code of Conduct, clients contribute to a positive and effective mentoring relationship with InzpireU. InzpireU mentors are committed to supporting client success, and client cooperation ensures a mutually beneficial experience.

Submission of a Mentoring Request Form implies the client’s consent and acknowledgment of having read and agreed to abide by the InzpireU Mentoring Services Code of Conduct.
